Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Cognitosphere("we", "us", "our") governing access to and use of Nerve, including the website at https://nerveqi.com, connected hardware devices, APIs, and related services (collectively, the "Service").

By registering, signing in, linking a broker account, or pairing a device, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you must not use the Service.

You must be at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction. You represent that you use the Service only for lawful purposes and in compliance with applicable securities, data-protection, and export-control laws.

If you access the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Authentication is provided through our identity partner. You are responsible for safeguarding credentials, session tokens, and any device pairing codes issued to you. You must notify us promptly at talk@hmct.in if you suspect unauthorised access.

We may suspend or terminate accounts that violate these Terms, pose a security risk, or remain inactive for extended periods, subject to applicable law.

The Service may connect to third-party broker APIs (including Zerodha Kite Connect) to retrieve portfolio holdings, positions, and related metadata you authorise. We do not execute trades on your behalf unless explicitly stated in a separate written agreement.

Broker tokens, refresh cycles, and data accuracy depend on third-party availability. You are responsible for maintaining valid broker authorisations and reviewing data displayed on devices or dashboards. See our Security documentation for how Kite tokens are handled.

Nerve-compatible hardware receives portfolio snapshots and notifications configured in your account. You are responsible for physical security of devices, Wi-Fi credentials entered during setup, and factory-reset procedures before transfer or disposal.

Device firmware is provided "as is". We do not guarantee uninterrupted operation, real-time latency, or suitability for time-critical trading decisions.

You agree not to:

• Reverse-engineer, scrape, or overload the Service or APIs
• Share account credentials or device session tokens with unauthorised parties
• Upload malicious code or interfere with other users' access
• Use the Service to distribute unlawful, misleading, or infringing content
• Misrepresent affiliation with Cognitosphere or regulated financial institutions

Cognitosphere and its licensors retain all rights in software, branding, documentation, and platform content. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during an active account period.

The Service integrates with third-party providers for authentication, PostgreSQL data storage, application infrastructure, and broker platforms. Your use of those services may be subject to their separate terms. We are not responsible for third-party outages, policy changes, or data practices beyond our contractual obligations.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. See our Investment Disclaimer for financial-specific limitations.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COGNITOSPHERE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR TRADING OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our aggregate liability for direct damages shall not exceed the greater of (a) amounts paid by you to us in the twelve months preceding the claim, or (b) INR 10,000, except where prohibited by law.

You agree to indemnify and hold harmless Cognitosphere from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights.

We may update these Terms by posting a revised version with a new "Last updated" date. Material changes will be communicated via the Service or email where practicable. Continued use after changes constitutes acceptance.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction, subject to mandatory consumer protections in your jurisdiction.
